IMPORTANT: ProMultis LLC's Services enable coordination and communication with a healthcare provider. They do not replace your relationship with any physician. These Services may not be appropriate for all medical conditions or concerns. If you have a medical emergency, immediately call your doctor or dial 911.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITES OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SITES OR SERVICES.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website, applications, and telehealth services (collectively, the "Services") provided by ProMultis LLC ("ProMultis LLC," "we," "us," or "our"), a Wyoming limited liability company operating at promultis.co (the "Site"). The Services include the Site, any affiliated mobile or progressive web applications, and any telehealth and pharmacy coordination services we provide.

By creating an account, accessing our Site, or using any Services, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, which are incorporated by reference. Your use also constitutes acceptance of Bask Health, Inc.'s platform terms and applicable privacy policy at bask.health.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age.

  • Be a resident of a state in which our Services are available.

  • Be capable of forming a legally binding agreement.

  • Provide accurate, current, and complete information during registration and medical intake.

Our Services are available only within the United States. Accessing the Services from outside the United States is not permitted. Satisfying these requirements does not guarantee that you will receive Services through ProMultis LLC. We and our affiliated professional entities reserve the right to change or add requirements at our sole discretion.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

  • Provide truthful and accurate information, including all health-related information requested during the intake process.

  • Notify us immediately at support@promultis.co of any unauthorized use of your account or any other breach of security.

  • Not share your account credentials with any other person.

  • Not create multiple accounts for the same individual.

  • Exit from your account at the end of each session and change your password promptly if you believe it has been compromised.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe involve fraudulent, misleading, or harmful activity. We may also take any actions we deem necessary or reasonable to maintain the security of the Sites, Services, and your account.

4. Description of Services

ProMultis LLC is a technology platform that connects patients with independently licensed healthcare providers for telehealth consultations focused on weight management using GLP-1 medications. Our Services include:

  • An online intake process to collect your health information.

  • Facilitating asynchronous or synchronous telehealth consultations with licensed physicians.

  • Coordinating prescription fulfillment through licensed pharmacies.

  • Arranging delivery of prescribed medications to your address.

  • Administrative support for scheduling, payment, and order fulfillment.

Clinical services, including prescriptions and pharmacy operations, are coordinated through Bask Health, Inc., our clinical operations partner, which manages the licensed physician network, pharmacy relationships, and medication shipping logistics.

5. ProMultis LLC Is Not a Medical Provider

ProMultis LLC is a technology platform, not a healthcare provider. We do not practice medicine, provide medical advice, or establish a doctor-patient relationship with you. The physicians accessible through our platform are independent, licensed healthcare professionals who exercise their own clinical judgment.

All medical decisions, including whether to prescribe medication, are made solely by the treating physician based on their professional assessment. ProMultis LLC does not influence, direct, or override physician decision-making. A consultation through our platform does not guarantee that a prescription will be issued.

The health and wellness resources made available through our Services are not a substitute for direct in-person healthcare services in all cases. By using the Services, you acknowledge that the absence of an in-person physical examination may affect a healthcare provider's ability to diagnose any potential condition, and that any diagnosis you may receive may be limited or, in some cases, provisional.

6. Telehealth Consent

Telemedicine involves the delivery of healthcare services using electronic communications between a healthcare provider and a patient who are not in the same physical location. By using our Services, you acknowledge and consent to the following:

  • Telehealth consultations may be conducted asynchronously (e.g., through questionnaires reviewed by a physician) or synchronously (e.g., via video or audio).

  • Telehealth has limitations compared to in-person visits. The physician may not have access to your full medical history and cannot perform a physical examination.

  • There are potential risks, including delays in evaluation, misdiagnosis due to incomplete information, and technical disruptions.

  • Healthcare providers may be limited by state law in prescribing certain medications without first conducting an in-person physical examination.

  • Electronic systems used in the Services incorporate network and software security protocols designed to protect the privacy and integrity of health information, but no electronic transmission is absolutely secure.

  • You have the right to withdraw consent and discontinue the telehealth consultation at any time.

  • Your health information will be handled in accordance with our Privacy Policy and applicable law.

7. Communications by SMS and Email

By providing your phone number or opting in to SMS messages from ProMultis LLC, you consent to receiving text messages regarding your account and use of the Services, including order confirmations, shipping notifications, messages from your healthcare provider, and other transactional messages, as well as promotional notifications to the extent you have opted in.

You acknowledge that: (1) you are the owner or authorized user of the mobile device; (2) you are responsible for all messaging and data charges that may apply; and (3) neither ProMultis LLC nor mobile carriers are liable for delayed or undelivered messages. You can opt out of marketing SMS at any time by texting "STOP" to the message received. After confirmation, you may continue to receive transactional messages tied to your account.

Text messages and emails are not encrypted, and transmission over the internet and mobile networks is not 100% secure. By communicating with us by SMS or email, you consent to unencrypted transmission and accept the associated risks. For sensitive matters, please use our secure patient portal or contact us at support@promultis.co.

8. Medications and Pharmacy Services

If a healthcare provider determines you are eligible for a prescription, your medication will be fulfilled by a licensed pharmacy within the Bask Health pharmacy network (the "Pharmacy Network"). By using the Services, you consent to ProMultis LLC sharing your name, contact information, health records, and other applicable information with the Pharmacy Network so you may receive pharmacy services.

Medications prescribed through our platform may include compounded GLP-1 formulations (such as semaglutide or tirzepatide). Compounded medications are prepared by FDA-regulated outsourcing facilities or pharmacies under section 503A or 503B of the Federal Food, Drug, and Cosmetic Act. You agree to use any prescribed medication only as directed by your treating physician and to report any adverse effects promptly. You acknowledge that your medication may not be shipped in child-resistant packaging and that you are responsible for keeping it out of the reach of children and away from heat, light, and moisture beyond manufacturer or compounder guidelines.

9. Payments and Billing

By purchasing our Services, you agree to pay all applicable fees as displayed at the time of purchase. Pricing is shown on the Site and may include tiers based on medication type, dose, and refill schedule.

You authorize ProMultis LLC, our affiliates, or our third-party payment processors to charge your selected payment method for all fees due. Payments may include amounts collected on behalf of healthcare providers or pharmacies for services they render, and these amounts will be remitted to those parties as applicable.

Subscription-based plans are billed automatically on a recurring basis until canceled. You can cancel at any time through your account or by emailing support@promultis.co. Pricing is subject to change; we will notify you of price changes before your next billing cycle. Once a billing cycle has been charged, refunds are governed by our Refund Policy.

If your payment fails, expires, or is declined, ProMultis LLC and the affiliated healthcare providers and pharmacies have no obligation to provide further Services until full payment is received and verified.

10. Special Notice to Medicare and Medicaid Beneficiaries

Federal and state healthcare programs, such as Medicare and Medicaid, do not pay for all healthcare costs, including some services and products that you or your healthcare provider may consider necessary. Neither federal nor state healthcare programs currently pay for the medical services or products made available through the Services in the way they are provided (i.e., using telemedicine and bundled treatment offerings).

By using the Services, you acknowledge and agree that: (1) you will pay directly for any medical services and products provided to you, and (2) neither ProMultis LLC nor any affiliated healthcare provider or pharmacy will bill any federal or state healthcare program for such medical services or products.

11. Prohibited Use

Subject to your compliance with these Terms, we grant you a personal, limited, revocable, non-exclusive, and non-transferable right to access and use the Sites and Services for your personal, non-commercial use only. You agree that you will not, and will not attempt to:

  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.

  • Use the Sites or Services to violate any local, state, federal, or international law.

  • Reverse engineer, disassemble, decompile, or translate any software or component of the Sites.

  • Distribute or transmit any virus, Trojan horse, or other harmful code that could damage the Sites or any system, device, or property.

  • Infringe or misappropriate any intellectual property right or other right of any third party.

  • License, sublicense, sell, resell, transfer, or otherwise commercially exploit the Sites or Services.

  • Use the Sites to develop competing products or services.

  • Disrupt, interfere with, or attempt to gain unauthorized access to the Sites or any computer network connected to them.

  • Bypass any security or technological measures protecting the Sites.

  • Remove or alter any trademarks, copyright notices, or other proprietary markings.

  • Use any automated means to monitor or copy content from the Sites except as expressly permitted.

  • Use the Apps on a mobile device with a modified ("jailbroken" or "rooted") operating system, which may compromise the security of your protected health information.

12. Information You Submit and Intellectual Property

With the exception of personal data and Protected Health Information (PHI) handled in accordance with our Privacy Policy and applicable law, you understand and agree that any information you provide to ProMultis LLC on or through the Sites or Services (including data, questions, comments, forum posts, or suggestions) may be treated as non-confidential and non-proprietary. ProMultis LLC may use, copy, display, modify, distribute, and create derivative works of any such information for any purpose, including improving the Services and developing new offerings.

For personal data and PHI, you grant ProMultis LLC, our service providers, our successors and assigns, Bask Health, Inc. and affiliated healthcare providers a fully transferable and sublicensable right and license to use, reproduce, modify, analyze, perform, display, distribute, and otherwise disclose such data for purposes of providing services to you, conducting research and analyses (in a de-identified or aggregate form where applicable), and designing and improving features and services.

All content on our Sites and platform — including text, graphics, logos, images, software, and the overall design and arrangement — is the property of ProMultis LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any of our content without prior written permission, except as necessary for your personal, non-commercial use of our Services. The ProMultis name, logo, and all related marks are trademarks of ProMultis LLC. You may not use our trademarks without prior written consent.

13. Disclaimer of Warranties

YOU EXPRESSLY AGREE THAT USE OF THE SITES IS AT YOUR SOLE RISK. THE SITES AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PROMULTIS LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AND AGENTS (COLLECTIVELY, "RELATED PERSONS") MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AVAILABILITY, SECURITY, OPERABILITY, ACCURACY, COMPLETENESS, TIMELINESS, FUNCTIONALITY, RELIABILITY, OR FREEDOM FROM VIRUSES.

WE DO NOT GUARANTEE THAT THE SITES WILL BE UNINTERRUPTED OR FREE FROM ERROR, DEFECT, DELAY, CORRUPTION, CYBER ATTACK, VIRUSES, OR OTHER SECURITY INTRUSION. CONTENT, MATERIALS, AND INFORMATION OBTAINED THROUGH THE SITES ARE USED AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • PROMULTIS LLC AND ITS RELATED PERSONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF REVENUE, PROFITS, GOODWILL, USE, DATA, SERVICE INTERRUPTION, COMPUTER OR DEVICE DAMAGE, OR PERSONAL OR BODILY INJURY OR EMOTIONAL DISTRESS — ARISING OUT OF OR IN CONNECTION WITH ACCESS, USE, OR INABILITY TO USE THE SITES OR SERVICES.

  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO PROMULTIS LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

  • PROMULTIS LLC IS NOT LIABLE FOR ANY MEDICAL OUTCOMES, ADVERSE REACTIONS, OR HEALTH CONSEQUENCES RESULTING FROM TREATMENT PRESCRIBED BY INDEPENDENT PHYSICIANS THROUGH OUR PLATFORM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, our liability will be limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless ProMultis LLC, its affiliates (including all affiliated professional entities), subsidiaries, and their directors, officers, employees, contractors, licensors, suppliers, and agents from and against any third-party suits, actions, claims, damages, settlements, judgments, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Sites or Services in an unauthorized manner.

  • Your violation of these Terms.

  • Your violation of any third-party rights, including intellectual property or privacy rights.

  • Any inaccurate or incomplete information you provide, including health information.

  • Your fraud, willful misconduct, or violation of law.

16. Termination

These Terms remain in full force and effect as long as you continue to access or use the Sites or Services. You may terminate these Terms at any time by discontinuing use of the Sites. Your permission to use the Sites automatically terminates if you violate these Terms.

ProMultis LLC may terminate or suspend any rights granted by these Terms and your access to the Sites or Services with or without prior notice, for any reason, at any time. The following provisions survive termination: Disclaimer of Warranties; Limitation of Liability; Indemnification; Information You Submit and Intellectual Property; Governing Law and Dispute Resolution; and Miscellaneous.

After termination, ProMultis LLC has no further obligation to provide the Services, except that affiliated professional entities may be required to provide you access to your health records or to provide continuing care under applicable legal, ethical, and professional obligations.

17. Governing Law and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND PROMULTIS LLC TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

These Terms and your use of the Sites shall be governed by the laws of the State of Delaware, without giving effect to its conflict-of-laws principles.

Informal resolution. Before filing any formal legal action, you agree to first attempt to resolve any dispute by contacting us at support@promultis.co. We will make good faith efforts to resolve the dispute informally within thirty (30) days.

Binding arbitration. Any dispute arising out of or relating to these Terms or the Services that is not resolved informally shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration shall take place in Delaware or, at your election, via telephone or videoconference. Either party may bring a claim related to intellectual property rights, or seek temporary or preliminary injunctive relief, in any court of competent jurisdiction.

Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action.

18. Modifications and Miscellaneous

Modifications. We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and notify you via email or a prominent notice on the Site. Your continued use of the Services after the effective date of any modifications constitutes acceptance of the revised Terms.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced with terms that most closely match the intent of the original.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

No agency. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and ProMultis LLC.

Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ProMultis LLC regarding the Services.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
